Why don't you save a lot of the problems of properly building
ndiswrapper and instead go out and get the prebuilt package for your
distribution?
I your message at one point you said that you where running:
CentOS 4.4 kernel 2.6.9-42.0.10
Well a quick google of: CentOS 4.4 kernel 2.6.9-42.0.10 ndiswrapper
returned about six(6) hits.
One of which was a link to: "RPM Search"
Which had a pointer to:

and from that page you can download the prebuilt package(rpm) or if you
insists on building the rpm yourself then I suggest that you start with
the pre-built SOURCE code rpm.
Either way I think you will have a much easier time of properly
installing the kernel modules and/or driver's that way.
If I wanted to install Ndiswrapper on my Ubuntu base system it would be
as easy as: sudo apt-get install ndiswrapper-utils
{Which installs the utils package as the default Ubuntu kernel already
provides the required modules for your uses.}
If I decide to build a CUSTOM kernel then I would just also install the
ndiswrapper-source package to be able to build those modules.
